tOur functions as Company Secretary, although, can be diverse are summarized as follows:

ISSUES CONCERNING THE COMPANY

  • Ensure compliance with all relevant statutory and regulatory requirements. These include
  • Keeping relevant company records like incorporation documents, register of members, minutes book of Directors and General Meetings.
  • Assist in the organization of General Meetings and recording proceedings (minutes) at General Meetings.  Ensuring that Board Decisions and instructions are clearly communicated to relevant persons for action.
  • Registration of changes in shareholders, directors’ capital, certain resolutions etc. with the Registrar of Companies.

ISSUES CONCERNING THE BOARD

  • Must guide the Board collectively and each director individually as to their duties and responsibilities.
  • Make the Board aware of all legislations and regulations relevant to the company
  • Assist in the proper induction and orientation of directors, including assessing specific training needs of directors.

ISSUES CONCERING THE SHAREOWNER

  • Communicate with the shareowners as appropriate and to ensure that due regard is paid to their interests,
  • Ensure that all shareowners are treated in a fair an equal manner.

 


Business Start-up services


We assist in the registration and licensing of client’s businesses eg. Sole Proprietorship, Partnership and Companies Limited by Shares and Guarantee

  • Application to Ministry of Finance for Taxpayer’s Identification Number,
  • Registration with Internal Revenue Service
  • Registration with Value Added Tax Service (VAT Service)
  • Application to VAT Service for exemption from use of VAT Invoice
  • Registration with Ghana Investment Promotion Center (GIPC)
  • Application for Transfer of Technical and Management Service Fees
